The North American Securities Administrators Association (NASAA) which is an association of state and Canadian provincial securities regulators released it top ten list of investor traps for 2012. At the top of the list was “Crowdfunding and Internet Offers.” As allowed by the 2012 JOBS Act, crowdfunding will allow the solicitation over the Internet of small ($1 million or less) securities offerings. Among the other threats identified by NASAA are Inappropriate Advice from Investment Advisors, Regulation D Rule 506 Private Offerings, Promissory Note Fraud and Scam Artists Targeting Self-Directed IRAs.
